Article VII - Governing Boards

ARTICLE VII ‑ GOVERNING BOARDS

The authority of this corporation shall rest in the Combined Board of the Church Council.  Members of said Board shall be selected, maintained and removed as provided in the By‑Laws.
The normal activities of this corporation shall be governed by the combined board, not to be less than nine (9) members. 

The Church Council is made up of the Interim Leadership Team and the heads of the following Subcommittees:

1) Hospitality Team
2) SG Coaching Team
3) Children's Ministry Team
4) Finances
5) Missions
6) Worship Team

The Interim Leadership Team (ILT) will be composed of men appointed by the lead pastor, with the affirmation of the congregation (by 3/4 vote).  Members of ILT will serve for one year, after which time they will be evaluated by lead pastor, and then submitted to the congregation for a vote on their continued role (to be determined by a 3/4 vote majority), as well as nomination by the congregation of other names. The ILT will serve until the first board of elders is formed, consisting of no less than three (3) men, submitted by the lead pastor, affirmed by the congregation (by 3/4 vote) and the Advisory Board.  At such a time, both the ILT and the Advisory Board will dissolve, and the Governing Documents requires appropriate amendment. 

The combined Church Council will meet bi-monthly (twice monthly) to conduct the business of the corporation.

Though all matter of church issues will be discussed among the Combined Board, the following items must be voted on by the Combined Board and passed with a majority 3/4 vote of the Church Council:

1) Yearly Budget (and any amendations over 10% of budgeted amounts (per category))
2) Amendations to the Governing Documents (i.e., articles of incorporation/bylaws or constitution) and any deviations from them
3) The Hiring and Dismissing of Paid Staff
4) Change of Meeting Location
5) Transition to Our First Elder Team

  1. to #4 under matters the combined board (CB) will vote on, can we add "change in meeting time"

    and possibly another CB responsibility
    #6- "establishing of additional committees as needed &/or new committee heads"

  2. Agree with Dorothy's #6 to be added to list of things CB must vote on.

    Does "The normal activities of this corporation shall be governed by the combined board, not to be less than nine (9) members." ...mean that at least nine have to be present to vote or even have a mtg or that nine must be members of the board?

  3. Agree with Dor and good ?? MJ - the way it is worded sounds like 9 to vote to me. Is that right/OK?

    The full Church Council is going to meet every other week? That seems like a lot.

    Also, should the bylaws specifically give all other governing decisions over to the LT/Elder Board? Or did I miss that?

  5. Yeah the combined Church Council is supposed to meet every two months. I think that's an error in wording.

    I think the bylaws are saying that all matters of church issues will be discussed by the combined board right now. Only those listed will have to be voted on and passed by a 3/4 majority. Correct?

  7. I don't think this statement is clear enough or maybe fleshed out enough.....seems like that end clause about congregation nominations was tacked on......

    What if all four current ILT members want to stay on and there are also 5 nominations from the congregation....are we then "voting" on 9 new members to replace 4 spots or are we merely affirming and potentially having 9 guys on the ILT? Is there a limit to the number of men we want on the ILT?

  8. Sorry for putting that quote in there twice....whoops! That was an accident. :)

    Here is another one though....."The ILT will serve until the first board of elders is formed, consisting of no less than three (3) men, submitted by the lead pastor, affirmed by the congregation (by 3/4 vote) and the Advisory Board."

    I think that first phrase needs to just end with a period. "The ILT will serve until the first board of Elders is formed." Are we certain that we want the Elder Board formed in the same manner as the ILT? Are we going to accept nominations from the congregation at all? But even if the way it is stated is in fact how we are going to do it, I still think it needs to be its own sentence for clarity.

  9. I believe the elders (in contrast to the ILT) should be... nominated by the congregation, screened by the lead pastor, affirmed by the congregation by 3/4 vote and confirmed by the Advisory Board.

    MJ is right about needing to find a cap for the number of ILT members (and later elders), maybe, among other things, based on a ratio of leaders to members/attenders?

    Josh has a point about adding a detail about items not voted on by the Council will be left either to the juridiction of the individual sub-committees or the ILT. Do we need to spell out these items?
